Ontario Power Generation (OPG) is looking for a results driven, organized, administrative professional to join our team in the role of Law Clerk, Board Committees and Subsidiaries (hereafter, “Law Clerk”) within the Corporate Governance Group.


Working closely with and under the guidance of the Assistant Board Secretary, the Law Clerk will report to the VP. Law, Corporate Governance and Corporate Secretary (VP CGG) and will assist in the administration of OPG’s Board and Committee meetings, subsidiary and corporate governance program, and meetings of the Enterprise Leadership Team. This role is integral in providing support to the OPG Board of Directors and the Boards of OPG’s subsidiary entities – managing board meetings, agendas and minutes, and ensuring the proper execution of the annual board processes. This is a unique role that works closely with these Boards, Executives and Legal teams, and ensures that OPG and its subsidiaries work within the proper governance structure.


This is an excellent opportunity for a law clerk who has worked in the corporate secretarial group of an organization or in the corporate securities department of a law firm to move into a role where they will gain a broader corporate perspective in a highly regulated organization.

The Law Clerk will be a member of a small dynamic team responsible for OPG’s overall corporate governance program. Under the guidance of the Assistant Board Secretary and the direction of the VP CGG, the Law Clerk will assist in the administration of the corporate governance program, including:

  • Organizing, preparing for and managing board meetings, agendas and minutes, and ensuring the proper execution of the annual board processes;
  • Attending board meetings to take notes for minutes, as required;
  • Maintain OPG and subsidiary minute books and all related documents;
  • Drafting directors and shareholder resolutions as required for routine corporate transactions, amendments and annual meeting requirements;
  • Establishing, maintaining and monitoring compliance with parent company policies and procedures for subsidiary governance, including maintenance of subsidiary records and processing approvals required under OPG’s subsidiary and joint venture governance standards, and governance regulatory filings; and
  • Assisting in maintaining corporate structure charts.




The Law Clerk, under the guidance of the Assistant Board Secretary, assists with corporate governance and regulatory matters for OPG, including:

  • Research and benchmarking of corporate governance practices;
  • Preparing Director and Shareholder resolutions;
  • Drafting templates for minutes of meetings and action lists; Support  with preparation of draft agendas, documentation, reports, and any follow up required for the Board and Committees;
  • Manage Board evaluations electronically, tabulate and report results;
  • Preparing and managing the annual Board and Committee meeting schedule;
  • Maintaining OPG Governance Handbook and orientation material for new Board members; and
  • Maintaining corporate governance documents posted on OPG’s web site including Board policies, Board and Committee Charters, Director Biographies, and governance regulatory filings.



  • Post Secondary Education - University Degree or College Diploma; and
  • Completion of Law Clerk Diploma or Institute of Law Clerks of Ontario (ILCO) Certificate is strongly preferred.




We are looking for a professional with experience as a Law Clerk and who demonstrates a solid understanding of corporate secretarial and corporate governance practices. The successful candidate must possess:

  • 1 -3 years of experience as a law clerk, corporate secretary / board committee experience or experience as a corporate securities law clerk is preferred;
  • Outstanding interpersonal skills with the ability to establish excellent working relationships with internal and external stakeholders, in various functions and at all levels;
  • Ability to work in an administrative capacity while taking a consultative and management approach;


  • Strong written and verbal communication skills; including a high degree of skill in grammar, spelling and punctuation. Pays attention to detail. Ability to quickly change daily priorities depending on developing needs, and ability to multi-task;
  • Advanced computer skills (Outlook, Word, PowerPoint, Excel) experience using board portal technology is an asset; and
  • Looking for someone with a strong level of confidence who is energetic and a self-motivated individual that takes initiative and has a strong level of passion and desire to succeed. Must be a team player, willing to collaborate, ask questions, answer questions and contribute to the overall success of the group’s work product.
